These Terms & Conditions ("Terms") form the agreement between Kuro Network Global LLC ("Kuro Network", "we", "us", or "our") — a creative marketing agency — and you, the client engaging our services ("Client", "you", or "your"). By engaging Kuro Network or using our platform, you accept these Terms in full.
These Terms should be read alongside our Privacy Policy, which together form the complete agreement between you and Kuro Network.
About Kuro Network
Kuro Network is a creative marketing agency specialising in performance-led advertising for ambitious brands. We combine strategic planning, creative production, and campaign management to help our clients reach their commercial objectives across the Meta ecosystem and other digital channels.
We operate as a Meta-approved partner agency, managing advertising campaigns on behalf of our clients through our agency Business Manager and the Meta Marketing API.
Our Services
Kuro Network provides the following creative marketing services. The specific scope of services included in your engagement will be confirmed in writing before commencement.
Engagement & Acceptance
An engagement with Kuro Network commences when:
- You complete the onboarding process and confirm acceptance of these Terms;
- An initial payment, deposit, or campaign budget contribution is received and cleared; and
- We have confirmed the scope of services in writing.
Engagements are entered into on the basis described in your individual service agreement, statement of work, or onboarding confirmation. Where there is a conflict between these Terms and the specific terms of a written service agreement, the service agreement shall prevail.
Client Responsibilities
To deliver effective creative marketing services, we require the following from you. Failure to meet these responsibilities may delay or impair our ability to deliver agreed-upon services.
Campaign Budget Funding
Advertising spend on campaigns we manage on your behalf is funded by you, the Client. The following provisions apply to all campaign budget transactions:
Acceptable Use Policy
Kuro Network reserves the right to decline or terminate any engagement where the products, services, or content to be advertised:
- Violate Meta's Advertising Policies, Community Standards, or Platform Terms;
- Are illegal in the jurisdictions where advertising would be served;
- Promote violence, hate speech, discrimination, or harassment;
- Involve fraudulent, deceptive, or misleading claims;
- Promote adult content, gambling without proper licensing, or other restricted categories without Meta's express approval;
- Infringe upon third-party intellectual property rights;
- Pose reputational, legal, or operational risk to Kuro Network or its agency Business Manager.
We reserve the right to pause, modify, or remove campaigns at any time where, in our reasonable judgment, continued operation would breach this Acceptable Use Policy or Meta's policies. Where campaigns are paused for compliance reasons, no refund is due for advertising spend already incurred.
Intellectual Property
Intellectual property arising from our engagement is governed by the following provisions.
Confidentiality
Both Kuro Network and the Client agree to treat all non-public information shared during the engagement as confidential. This includes business plans, financial information, strategy documents, customer data, performance metrics, and any other proprietary information.
Confidential information may only be disclosed to employees, contractors, or service providers who have a legitimate need to know and who are bound by confidentiality obligations consistent with these Terms.
These confidentiality obligations survive termination of the engagement for a period of three (3) years, except for information that is required to be disclosed by law or that becomes publicly available through no fault of the receiving party.
Fees & Payment
Service fees are separate from campaign budget funding. Service fees cover the strategic, creative, and management work delivered by Kuro Network.
Termination
Either party may terminate the engagement in accordance with the notice periods set out in your service agreement. In the absence of specific terms, the following applies:
Limitation of Liability
Kuro Network shall not be liable for:
- Indirect, consequential, special, or punitive damages of any kind;
- Loss of profits, revenue, goodwill, or anticipated savings;
- Loss or corruption of data, except to the extent caused by our gross negligence;
- Decisions by Meta or other advertising platforms to restrict, suspend, or terminate accounts or campaigns, where such decisions are outside our reasonable control;
- Performance of advertising campaigns. While we apply professional skill and care, advertising results are influenced by many factors and are not guaranteed;
- Events of force majeure, including platform outages, regulatory changes, or other circumstances beyond our reasonable control.
Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.
Indemnification
You agree to indemnify, defend, and hold harmless Kuro Network, its officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Terms or any service agreement;
- Your use of Kuro Network's services in violation of applicable laws;
- Content, claims, products, or services you have asked us to promote;
- Any third-party intellectual property infringement arising from materials you provide;
- Any breach of warranties or representations you make to us.
Disputes & Governing Law
These Terms are governed by and construed in accordance with the laws of the United States and the State in which Kuro Network Global LLC is registered, without regard to its conflict of law principles.
In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If a dispute cannot be resolved within thirty (30) days of written notice, either party may submit the dispute to binding arbitration in the United States, with the seat of arbitration to be agreed upon by the parties.
Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.
Modifications
Kuro Network reserves the right to modify these Terms at any time to reflect changes in our practices, services, or legal obligations. All material changes will be communicated to active clients via dashboard notices or primary communication channels (WhatsApp / Telegram / Email).
Continued use of Kuro Network services after a modification takes effect constitutes acceptance of the revised Terms. The most current version is always available at kuronetwork.com/terms.
