These Terms & Conditions ("Terms") form the agreement between Kuro Network Global LLC ("Kuro Network", "we", "us", or "our") — a creative marketing agency — and you, the client engaging our services ("Client", "you", or "your"). By engaging Kuro Network or using our platform, you accept these Terms in full.

These Terms should be read alongside our Privacy Policy, which together form the complete agreement between you and Kuro Network.

About Kuro Network

Who we are & what we do

Kuro Network is a creative marketing agency specialising in performance-led advertising for ambitious brands. We combine strategic planning, creative production, and campaign management to help our clients reach their commercial objectives across the Meta ecosystem and other digital channels.

We operate as a Meta-approved partner agency, managing advertising campaigns on behalf of our clients through our agency Business Manager and the Meta Marketing API.

Our Services

What is included in your engagement

Kuro Network provides the following creative marketing services. The specific scope of services included in your engagement will be confirmed in writing before commencement.

Strategy & Planning
Brand and campaign strategy development, audience research, creative briefs, media planning, and quarterly performance roadmaps.
Creative Production
Concept development, copywriting, art direction, motion design, photography, and video production tailored to performance objectives.
Campaign Management
Setup, launch, optimisation, and ongoing management of paid advertising campaigns across Meta platforms and approved partner channels.
Reporting & Analytics
Real-time campaign dashboards, performance reporting, and strategic recommendations based on campaign data.
Account Operations
Management of the ad accounts assigned to Kuro Network under our agency Business Manager, including budget allocation, asset organisation, and ongoing maintenance.
What we don't do
Kuro Network does not sell, rent, lease, or otherwise distribute access to ad accounts or advertising infrastructure. The ad accounts we operate are managed by our agency on behalf of our clients in connection with the creative marketing services we provide. We comply fully with Meta's Platform Terms and Advertising Policies.

Engagement & Acceptance

How our relationship begins

An engagement with Kuro Network commences when:

  • You complete the onboarding process and confirm acceptance of these Terms;
  • An initial payment, deposit, or campaign budget contribution is received and cleared; and
  • We have confirmed the scope of services in writing.

Engagements are entered into on the basis described in your individual service agreement, statement of work, or onboarding confirmation. Where there is a conflict between these Terms and the specific terms of a written service agreement, the service agreement shall prevail.

Client Responsibilities

What we need from you

To deliver effective creative marketing services, we require the following from you. Failure to meet these responsibilities may delay or impair our ability to deliver agreed-upon services.

Accurate Information
You agree to provide accurate, complete, and current information about your business, target audience, and campaign objectives. You are responsible for keeping this information up to date.
Brand Materials
You are responsible for providing brand assets, product information, logos, imagery, and any third-party materials required for campaign delivery, along with proof of ownership or licence to use them.
Approvals & Feedback
You agree to review and approve creative deliverables and campaign plans within reasonable timeframes. Excessive delays in approvals may impact agreed-upon timelines.
Compliance & Truthfulness
You warrant that all products, services, and claims to be promoted comply with applicable laws and Meta's Advertising Policies, and that all factual statements provided to us for use in advertising are truthful and substantiated.
Business Manager Access
Where applicable, you agree to assign relevant ad accounts to Kuro Network's agency Business Manager and provide any necessary permissions to enable us to deliver our services.

Campaign Budget Funding

How advertising spend is funded & managed

Advertising spend on campaigns we manage on your behalf is funded by you, the Client. The following provisions apply to all campaign budget transactions:

Funding Method
Campaign budgets are funded by bank transfer or cryptocurrency wallet transfer to Kuro Network in advance of advertising spend. Other methods may be agreed in writing.
Application of Funds
Funds received from clients are applied to the ad accounts we manage on your behalf and used exclusively to deliver advertising campaigns within the agreed scope of services.
Budget Reporting
Real-time campaign budget status, spend, and remaining balance are displayed within your client dashboard. This is based on data retrieved from Meta's Marketing API and is subject to caching delays as described in our Privacy Policy.
Refunds
Unspent campaign budget remaining at the end of an engagement may be refunded to you upon written request, subject to settlement of any outstanding service fees. Refunds will be processed to the original funding source where possible.
Currency & Conversion
All transactions are denominated in US Dollars (USD) unless otherwise agreed in writing. Where funds are received in other currencies, conversion is at the prevailing market rate, and you are responsible for any conversion losses.
No interest, no float
Campaign budget funds held by Kuro Network are not held as deposits and do not earn interest. We hold funds solely for the purpose of applying them to advertising campaigns we manage on your behalf. Funds are not commingled with operating capital.

Acceptable Use Policy

What we will not advertise

Kuro Network reserves the right to decline or terminate any engagement where the products, services, or content to be advertised:

  • Violate Meta's Advertising Policies, Community Standards, or Platform Terms;
  • Are illegal in the jurisdictions where advertising would be served;
  • Promote violence, hate speech, discrimination, or harassment;
  • Involve fraudulent, deceptive, or misleading claims;
  • Promote adult content, gambling without proper licensing, or other restricted categories without Meta's express approval;
  • Infringe upon third-party intellectual property rights;
  • Pose reputational, legal, or operational risk to Kuro Network or its agency Business Manager.

We reserve the right to pause, modify, or remove campaigns at any time where, in our reasonable judgment, continued operation would breach this Acceptable Use Policy or Meta's policies. Where campaigns are paused for compliance reasons, no refund is due for advertising spend already incurred.

Intellectual Property

Ownership of creative work & assets

Intellectual property arising from our engagement is governed by the following provisions.

Client Materials
You retain full ownership of all materials you provide to us, including brand assets, product information, and existing creative work. You grant Kuro Network a non-exclusive licence to use those materials solely for the purpose of delivering our services.
Deliverables
Upon full payment of all applicable fees, you are granted a perpetual, worldwide licence to use the final creative deliverables produced under the engagement (such as ads, copy, and creative assets) for your business purposes.
Working Files & Process
Kuro Network retains ownership of working files, project files, internal methodologies, tools, and frameworks developed in the course of delivering services. These are not transferred to the Client.
Portfolio Use
Kuro Network reserves the right to display deliverables, anonymised performance metrics, and engagement summaries in our portfolio, case studies, and marketing materials, unless agreed otherwise in writing.
Third-Party Assets
Where third-party assets (such as stock imagery, licensed music, or fonts) are used in deliverables, licence terms are confined to the agreed advertising use. Extended or alternative use is your responsibility to license separately.

Confidentiality

Protection of business information

Both Kuro Network and the Client agree to treat all non-public information shared during the engagement as confidential. This includes business plans, financial information, strategy documents, customer data, performance metrics, and any other proprietary information.

Confidential information may only be disclosed to employees, contractors, or service providers who have a legitimate need to know and who are bound by confidentiality obligations consistent with these Terms.

These confidentiality obligations survive termination of the engagement for a period of three (3) years, except for information that is required to be disclosed by law or that becomes publicly available through no fault of the receiving party.

Fees & Payment

Service fees & payment terms

Service fees are separate from campaign budget funding. Service fees cover the strategic, creative, and management work delivered by Kuro Network.

Fee Structure
Service fees are specified in your individual service agreement and may be charged as a monthly retainer, project fee, percentage of campaign budget, performance-based incentive, or a combination thereof.
Invoicing
Invoices are issued on the cadence specified in your service agreement (typically monthly). Invoices are due within fourteen (14) days of issue unless otherwise agreed in writing.
Late Payment
Overdue invoices may attract a late fee of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to pause services for accounts with overdue balances.
Taxes
All fees are exclusive of applicable taxes, duties, and levies. The Client is responsible for any such taxes, except for taxes on Kuro Network's net income.

Termination

Ending the engagement

Either party may terminate the engagement in accordance with the notice periods set out in your service agreement. In the absence of specific terms, the following applies:

Termination for Convenience
Either party may terminate the engagement for any reason by providing thirty (30) days' written notice. Service fees remain payable until the end of the notice period.
Termination for Cause
Either party may terminate immediately if the other materially breaches these Terms and fails to remedy the breach within fourteen (14) days of written notice.
Immediate Termination
Kuro Network may terminate immediately, without notice, where continued service would breach Meta's policies, expose us to legal risk, or where the Client breaches the Acceptable Use Policy (Section 06).
Non-Payment Forfeiture
Where invoices remain unpaid for more than thirty (30) days beyond the due date, we reserve the right to terminate the engagement and forfeit any remaining campaign budget funds, subject to a two (2) week grace period.
Post-Termination
Upon termination, we will provide reasonable transition assistance and refund any unspent campaign budget (less outstanding fees) within thirty (30) days. Ad accounts assigned to our agency Business Manager will be removed from our management.

Limitation of Liability

Risk allocation
Important — Read Carefully
To the maximum extent permitted by law, Kuro Network's total aggregate liability arising out of or in connection with these Terms or any engagement shall not exceed the total service fees paid by the Client to Kuro Network in the three (3) months preceding the event giving rise to liability.

Kuro Network shall not be liable for:

  • Indirect, consequential, special, or punitive damages of any kind;
  • Loss of profits, revenue, goodwill, or anticipated savings;
  • Loss or corruption of data, except to the extent caused by our gross negligence;
  • Decisions by Meta or other advertising platforms to restrict, suspend, or terminate accounts or campaigns, where such decisions are outside our reasonable control;
  • Performance of advertising campaigns. While we apply professional skill and care, advertising results are influenced by many factors and are not guaranteed;
  • Events of force majeure, including platform outages, regulatory changes, or other circumstances beyond our reasonable control.

Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.

Indemnification

Mutual protection

You agree to indemnify, defend, and hold harmless Kuro Network, its officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

  • Your breach of these Terms or any service agreement;
  • Your use of Kuro Network's services in violation of applicable laws;
  • Content, claims, products, or services you have asked us to promote;
  • Any third-party intellectual property infringement arising from materials you provide;
  • Any breach of warranties or representations you make to us.

Disputes & Governing Law

How disagreements are resolved

These Terms are governed by and construed in accordance with the laws of the United States and the State in which Kuro Network Global LLC is registered, without regard to its conflict of law principles.

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If a dispute cannot be resolved within thirty (30) days of written notice, either party may submit the dispute to binding arbitration in the United States, with the seat of arbitration to be agreed upon by the parties.

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.

Modifications

Updates to these Terms

Kuro Network reserves the right to modify these Terms at any time to reflect changes in our practices, services, or legal obligations. All material changes will be communicated to active clients via dashboard notices or primary communication channels (WhatsApp / Telegram / Email).

Continued use of Kuro Network services after a modification takes effect constitutes acceptance of the revised Terms. The most current version is always available at kuronetwork.com/terms.

Clients may request a copy of a prior version by contacting us using the details in Section 15.

Acceptance of Terms
By engaging Kuro Network for creative marketing services or continuing to use our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
